General Terms and Conditions (GTC)

§ 1 General Principles / Scope of Application

These General Terms and Conditions apply to all public and private training sessions, workshops, and seminars (hereinafter collectively referred to as "Training") offered and conducted by TheRevolutionaryMind e.U. Deviating provisions of the contracting parties do not apply, even if TheRevolutionaryMind e.U. does not explicitly object to them.

These General Terms and Conditions exclusively govern all legal transactions between the contracting parties and TheRevolutionaryMind e.U. The version valid at the time of contract conclusion is decisive.
Changes to these terms and conditions will be communicated to the contracting parties in writing. They are deemed approved if the contracting parties do not object in writing. Objections must be sent to TheRevolutionaryMind e.U. within 14 days after notification of the changes.
These General Terms and Conditions also apply to all future contractual relationships, even if they are not explicitly referenced in supplementary agreements.
Should individual provisions of these General Terms and Conditions become invalid, this does not affect the validity of the remaining provisions or contracts concluded under their application. An invalid provision shall be replaced by a valid provision that comes closest in meaning and economic purpose.

§ 2 Services

TheRevolutionaryMind e.U. offers various services: Open Training Sessions, Workshops, Seminars, Conferences, and Lectures (hereinafter referred to as "Open Events")
1. These services are published in advance on TheRevolutionaryMind e.U.'s website and are accessible to the general public. They are conducted at the locations and under the conditions (e.g., minimum participant number) specified on the website. Participants in open events are also considered contracting parties.
2. Training Sessions, Workshops, Seminars, and Lectures exclusively commissioned by a company (hereinafter referred to as "Closed Events")
  These services are provided for a pre-defined group of people (e.g., companies, groups) and can take place on the premises of the contracting parties, in rented facilities, at TheRevolutionaryMind e.U.'s premises, or online under agreed conditions (e.g., minimum and maximum participant numbers).
The scope of a specific assignment is agreed upon on a case-by-case basis in a contract. Unless otherwise specified, the service will be provided in German.
For open events, a detailed description and listing of TheRevolutionaryMind e.U.'s service offerings are published on its website.

§ 3 Conclusion of the Contract

Registrations for open events are made exclusively through the booking form on the official event webpage of TheRevolutionaryMind e.U. Registrations are processed in the order they are received. Registrations are only binding after written or email confirmation.
For closed events, a contract is concluded with TheRevolutionaryMind e.U. through the transmission and confirmation of an offer by post, email, or verbal agreement followed by written confirmation.
Number of Participants: Confirmation by TheRevolutionaryMind e.U. is subject to the condition that the minimum number of participants is met. For pedagogical and spatial reasons, the number of participants is limited to ensure learning success. If the minimum number of participants for the advertised service is not met, TheRevolutionaryMind e.U. reserves the right to cancel up to 14 days before the event begins. Contracting parties have no right to enforce the achievement of the minimum number of participants.

§ 4 Cancellation Conditions

Contracting parties may cancel services free of charge up to 14 calendar days before the start of the event. Exceptions include expenses and already rendered services, which will be charged.
For cancellations made on or after the 13th calendar day before the event start date, 50% cancellation fees apply, plus expenses and already rendered services.
The cancellation fee does not apply if the contracting party nominates suitable replacement participants (in the required number) who accept the service and pay the agreed fee. However, the original contracting party remains liable for the costs.

§ 5 Changes / Postponements / Cancellations by TheRevolutionaryMind e.U.

Service Content
TheRevolutionaryMind e.U. is entitled to reasonably modify the content of its services, particularly to cater to the needs of the service recipients.
Change of Service Provider
TheRevolutionaryMind e.U. may partially or fully delegate its obligations to third parties. Payment to third parties is exclusively handled by TheRevolutionaryMind e.U. No direct contractual relationship between third parties and the contracting parties arises. In exceptional cases (e.g., illness), TheRevolutionaryMind e.U. reserves the right to replace service providers with qualified substitutes to ensure service delivery.
Event Postponements and Cancellations
If an event is canceled due to trainer illness, force majeure, or unforeseen events, there is no entitlement to event execution. TheRevolutionaryMind e.U. is not liable for travel, accommodation costs, or lost work time and will strive to provide suitable alternatives. Additionally, TheRevolutionaryMind e.U. reserves the right to cancel events with low participant numbers, offering either participation in another event of equal value or a full refund. There are no further claims.

§ 6 Fees and Payment Terms

The prices stated on the seller's website include the applicable statutory value added tax.
The prices, currency and fees for closed events result from the valid agreement, for open events from the valid price information on the website of TheRevolutionaryMind e.U..
Normally, the invoice for the agreed amount is issued before the service is provided.
TheRevolutionaryMind e.U. is entitled to send invoices to the client also in electronic form. Clients expressly agree to the sending of invoices in electronic form by TheRevolutionaryMind e.U..
The payment amount must be paid within the specified period after the invoice has been sent (also electronically). Discounts cannot be deducted.
Agreed discounts can only be used if the amount shown in the invoice is received by TheRevolutionaryMind e.U. within the specified payment period, but no later than one calendar week after the end of the payment period.
If the payment deadlines are exceeded, TheRevolutionaryMind e.U. is entitled to default interest of 2% above the reference interest rate of the European Central Bank in accordance with the Discount Rate Transition Act without further reminder. The right to claim further damages remains unaffected.
If individual services are not used by the client, TheRevolutionaryMind e.U. reserves the right to charge the entire fee.
Any other costs incurred, such as cash outlays, expenses, travel and accommodation costs, are to be reimbursed by the client in addition to the invoice from TheRevolutionaryMind e.U., unless otherwise contractually agreed.

§ 7 Participation Conditions

The use of the respective service is at your own risk. Beneficiaries are only insured against accidents and rescue within the scope of their own accident insurance.
We reserve the right to withdraw from the contract for good cause and to exclude beneficiaries from receiving the service. The cost contribution already paid will be refunded on a pro rata basis. Good cause includes, in particular, circumstances that make further participation unreasonable for other service recipients or TheRevolutionaryMind e.U., as well as late payment.
1. The clients are obliged to ensure that all service recipients they send are physically and mentally able to take advantage of the services offered. To clarify health-related matters, TheRevolutionaryMind e.U. is entitled and obliged to refer the service recipients concerned to a counseling center trained for this purpose. If signs of health problems (including mental health problems) arise during the provision of services, TheRevolutionaryMind e.U. is entitled to exclude the beneficiaries concerned from the service in order to protect the health of the beneficiaries concerned and to protect others.
2. The service recipients are obliged to cooperate within the framework of the statutory provisions in the event of service disruptions, to avoid or minimize any damage. In particular, the service recipients are obliged to inform the service providers of their complaints without delay. These are instructed by TheRevolutionaryMind e.U. to remedy the situation if possible. If the service recipients culpably fail to report a defect, any claim to a reduction in the participation fee shall lapse.

§ 8 Provision of Information and Cooperation

The clients shall ensure that the organizational framework conditions in their premises or premises rented by them allow for conducive work when fulfilling the order.
The clients shall ensure that TheRevolutionaryMind e.U. is provided with all information and documents necessary for the fulfillment and execution of the order in a timely manner, even without its special request, and that they are informed of all processes and circumstances that are important for the execution of the order. This also applies to all documents, processes and circumstances that only become known during the work.

§ 9 Intellectual Property

The copyrights to the works created by TheRevolutionaryMind e.U. and its employees and commissioned third parties (in particular offers, reports, concepts for services, documents, drawings, etc.) remain with TheRevolutionaryMind e.U. They may be used by clients during and after termination of the contractual relationship exclusively for purposes covered by the contract. In this respect, clients are not entitled to reproduce and/or distribute the work(s) without the express consent of TheRevolutionaryMind e.U.. Under no circumstances shall TheRevolutionaryMind e.U. be liable to third parties for unauthorized reproduction/distribution of the work - in particular for the accuracy of the work.
In particular, the copyright provisions of the producers and copyright owners apply.
Photos/film recordings may be made by TheRevolutionaryMind e.U. or commissioned third parties during the provision of services, which also show the actions of the participants. Participants agree that these photos/films may be taken and used to document the service. Should these images or recordings be used for commercial purposes by TheRevolutionaryMind e.U., the prior written consent of the persons depicted or recorded will be obtained. TheRevolutionaryMind e.U. holds the image and sound rights.
In order to avoid copyright disputes, no video recordings, photographs or audio recordings of the learning material, the lecture or persons may be made by the client during the provision of a service without the express permission of TheRevolutionaryMind e.U..
Violation of these provisions by the client entitles TheRevolutionaryMind e.U. to immediately terminate the contractual relationship prematurely and to assert other legal claims, in particular for injunctive relief and/or damages.

§ 10 Liability / Damages

TheRevolutionaryMind e.U. is liable to the client for damages - except for personal injury - only in the case of gross negligence (intent or gross negligence). This also applies mutatis mutandis to damage caused by third parties commissioned by TheRevolutionaryMind e.U..
Claims for damages by the client can only be asserted in court within six months of knowledge of the damage and the damaging party, but at the latest within three years of the event giving rise to the claim.
Clients must provide proof that the damage is due to the fault of TheRevolutionaryMind e.U..
If TheRevolutionaryMind e.U. provides the service with the help of third parties and in this context warranty and/or liability claims arise against these third parties, TheRevolutionaryMind e.U. assigns these claims to the clients. In this case, the clients will give priority to these third parties.
Clients acknowledge that TheRevolutionaryMind e.U. assumes no responsibility for accidents that occur on the way of the clients to and from the place of service provision. The place of service provision is any place where TheRevolutionaryMind e.U. or commissioned third parties carry out activities of any kind and wherever, together with the clients of a service. In the case of event rooms in a building, the client's route begins and ends at the general entrance to the event rooms.
No liability claims can be asserted against TheRevolutionaryMind e.U. from the application of the knowledge acquired at TheRevolutionaryMind e.U..

§ 11 Confidentiality

TheRevolutionaryMind e.U. undertakes to maintain absolute secrecy about all business matters that come to its knowledge, in particular business and trade secrets as well as any information about the type, scope of operations and practical activities of the client, as well as about content and incidents during the provision of services - also concerning the personal area. However, TheRevolutionaryMind e.U. cannot guarantee this for the other participants. Exceptions exist in the case of statutory obligations to provide information.
TheRevolutionaryMind e.U. is released from the duty of confidentiality towards any third parties commissioned to provide services. However, TheRevolutionaryMind e.U. must completely transfer the duty of confidentiality to these third parties.

§ 12 Data Protection

heRevolutionaryMind e.U. is entitled to process personal data received within the scope of the purpose of the contractual relationship. Contractors guarantee TheRevolutionaryMind e.U. that all necessary measures have been taken for this purpose, in particular those within the meaning of the Data Protection Act, such as declarations of consent from the persons concerned.

§ 13 Newsletter

Als Auftraggebende stimmen Sie dem Erhalt des TheRevolutionaryMind e.U. E-Mail-Newsletters an die bekannt gegebene(n) E-Mail-Adresse(n) zu. Sollten sich die persönlichen Daten der Auftraggebenden geändert haben oder diese keine weiteren Zusendungen von TheRevolutionaryMind e.U. erhalten wollen, ist eine Abmeldung mittels des Links im Newsletter oder mittels Bekanntgabe per Email an office@therevolutionarymind.at möglich.

§ 14 Reference

The client agrees that their company may be named by TheRevolutionaryMind e.U. as a reference, e.g. on the website and in sales talks.
